Sign On The Dotted Line - Then We Can Become Business Partners | CEO SPACE


"A business partnership is like a marriage..."

Starting a business can be exciting. Some persons are able to start and operate a business on their own. Others, for various reasons, launch a business with friends, family members, colleagues or associates.

Regardless of whether you may partner with your mother, brother, neighbor or essentially a stranger, memorialize your understanding in writing. Have partners been successful in business without an agreement? The answer is "Yes." Is it advisable to do so? The answer is "No." A written document significantly minimizes misunderstandings among partners and, if partners ultimately decide to go their separate ways, the transition can be much smoother.

A "Shareholder Agreement" (as it's generally called when a corporation is formed) or a "Partner Agreement" (in the context of a general or limited partnership). Both terms are used interchangeably in this article.

1. Identify the owners, their respective ownership percentage and financial expectations. Clearly set forth the name of each of the shareholders/partners and the number of shares or interest each owns.

Surprisingly, many businesses operate for years without a stock certificate (or member certificate in the of a limited liability company) ever being issued. What could happen is that one partner may assume he/she has an equal ownership in the business while another partner believes that he/she owns a majority of the business. Also, be clear as to the amount of money each partner is expected to contribute to the business initially and on a going-forward basis, and how profits and losses will be allocated.

2. Management Issues. In certain businesses, particularly newly formed, small businesses the owners participate in its daily management. It therefore makes sense to outline the duties and responsibilities of each partner so that all expectations are known.

3. Decide if ownership interests can be transferred to third parties. This is particularly important for small businesses which are "closely held" (i.e., has no more than five owners). Without this understanding, one partner may transfer his/her interest in the company to a spouse, his best friend or some stranger, for that matter. The other partners may not want to be in business with someone they don't know, like or one with a different business philosophy. A shareholder agreement may provide that a transfer of stock or ownership interest is not permitted without the consent of the other partners, and may provide that the other partners or the entity may have the first right to buy the shares or interests that a partner wishes to sell or transfer (i.e., a right of first refusal).

4. The effect that the death, disability or retirement of a partner may have on the business. If a partner becomes ill for an extended period of time or retires, chances are he/she ay no longer contribute to the business or its operation. An agreement may be structured to provide that such partner's shares or ownership interest is to be bought back by the company or offered to the other partners.

5. Treatment of confidential information. Owners of a business often obtain access to confidential, nonpublic information such as inventions, costumer information or marketing strategies. If a partner departs from the business, he may use this confidential information to his advantage unless an agreement is signed precluding that partner from doing so. The shareholder agreement should include a clause which requires each partner to keep all nonpublic business information confidential and not to divulge it to any third party without the company's, he or she should be required to return all confidential information to the company.

6. Restrictions against non-competition Avoid any misunderstanding or confusion as to whether a partner can enter into a similar business if he or she were to leave the company. A non-compete clause in a shareholder agreement can provide that a partner cannot directly or indirectly compete in the same type of business within a certain mile radius of the company's location.

These are a few key terms relating to a partner agreement, but by no means a comprehensive list. What's important to remember is that whatever terms the partners agree to, such terms need to be in writing and signed by all partners. In many aspects, a business partnership is like a marriage good communication is key. The failure to effectively communicate and enter into agreements that all parties can live with can lead to a messy divorce.

Top Ten Legal Concerns Business Owners Should Know | CEO SPACE


You're a busy business owner wearing many hats - you're always marketing your business, constantly trying to secure clients and collect your fee for services rendered or products delivered. You know the importance of having your legal affairs in order, but there aren't enough hours in the day to do it all, or perhaps there isn't enough money to pay a professional to handle those matters.

Many entrepreneurs and business owners face this challenge. But it is crucial to address certain legal concerns so that you can remain in business and do so successfully. Here are top concerns you need to know and address... right now! This is not a comprehensive list, and all may not apply to you, but they are general concerns to be considered.

1. Choosing the Right Business Structure. There are four (4) basic structures - the sole proprietorship, general partnership, corporation and limited liability company (LLC). The riskier your business, the more you need to shield yourself from personal liability for any debts or wrongdoings of the business. Operating your business as a sole proprietorship or general partnership means that you may be personally responsible for claims brought against your business or for paying its debts. One lawsuit could destroy your business. Carefully consider the pros and cons of each structure and determine which one works best for your business.

2. The importance of good legal record keeping. Maintaining good records is a must, particularly with a corporation which is legally required to keep strict records of meetings and other actions required to be taken by its Board of Directors or shareholders. The failure of a corporation to keep adequate records could mean that its "corporate veil" is "pierced" and essentially the corporate status is negated. A third party bringing an action against the corporation may be successful in attacking the personal assets of the shareholders, and in some cases, those of the directors or officers.

3. Entering into Formal Agreements with Co-Owners. So many people are in business with others - family members, close friends or business associates and without a formal agreement. This is a MUST, regardless of the relationship. The reality is that business relationships don't always go as planned and owners may need to 'divorce.'. Without an agreement which makes it clear as to the ownership interest each person has, how and if interests may be transferred, the duties of each owner and terms of any non-compete clause, the departure of an owner or dissolution of the business can be difficult and costly.

4. Entering into Formal Agreement with Third Parties. Failing to document business arrangements in writing has been the downfall of many businesses. Common agreements include (i) consulting agreements with agents acting on behalf of the business; (ii) employment agreements for key officers; and (iii) non-disclosure agreements to preclude third parties from disclosing confidential information about your company. Also consider agreements that prohibit consultants or employees from competing against the business and/or soliciting agents or employees of the business (or include such provisions in an existing consulting or employment agreement). Without a non-compete or non-solicitation agreement or provision, a business could lose a significant of business to someone who has gained knowledge of your business and the specific industry and then snatched your clients and trusted employees/agents.

5. Labor and employment. In order to avoid issues with the Internal Revenue Service (IRS), be clear as to whether someone working for you needs to be classified as an employee, or whether they are a consultant. The general test is whether the person is instructed by the company as to when, where and how to work. In some cases, the IRS has fined a company for not properly classifying a worker as an employee and back employment taxes are imposed, resulting in a great financial burden for the business. The possibility also exists that a claim may be brought by consultants who then maintain that they are employees and are legally entitled to certain benefits such as workmen's compensation or unemployment insurance.

6. Entering into a Commercial lease. If you operate your business outside of your home, it is best to have a written agreement to ensure business continuity. Negotiate the right lease term, rent amount, etc. Without a written agreement you run the risk of the landlord asking you to leave even if you are a good tenant, and generally with just thirty (30) days notice. This could result in a significant loss of business income - having to move could mean the loss of good clients and a serious business interruption until a new space is secured.

7. The impact of taxes on your business and its owners. The four basic business structures all have different tax consequences and could therefore affect your bottom line differently. Discuss the tax reporting of each, and how each relates to your personal financial situation, with your tax advisor.

8. Raising Capital to Grow Your Business. Many business owners seek to grow their business through equity offerings to investors. Ascertain the types of documents required to be provided to potential investors to ensure compliance with federal and state securities laws, and to ensure that proper manner of soliciting investors.

9. Buying or Selling a Business or Assets. Conduct due diligence if you decide to sell your business or a significant amount of its assets or intend to buy another business. Evaluate all problems you may inherit if you are buying a business, such as pending lawsuits or outstanding debt.

10. Protecting Intellectual Property. If your business uses a trademark or service mark, protect it against all others by filing an application with the U.S. Patent and Trademark Office. Similarly, confirm that you are not using a name that legally belongs to someone else, which could mean infringement, and a successful lawsuit brought against your company. This could be catastrophic to your business.

Choosing the Right Structure for Your Business | CEO SPACE


We are all used to Pros And Cons Of Business Structure

Starting a business can be a very exciting and rewarding venture. However, it involves a lot of preparation and planning, particularly at the initial stages to ensure success. For example, a business and marketing plan must be developed, which is a written document that will help you define your business and organize your goals. Here, we will discuss the first and most important thing one should do: examine and determine the legal structure for your business. Your business structure will depend upon factors including third-party claims, tax considerations and your financial objectives.

THERE ARE BASICALLY FOUR TYPES OF BUSINESS STRUCTURES WHICH YOU SHOULD CONSIDER WHEN PLANNING YOUR BUSINESS. THESE INCLUDE SOLE PROPRIETORSHIPS, PARTNERSHIPS, CORPORATIONS AND LIMITED LIABILITY CORPORATIONS (LLC).

SOLE PROPRIETORSHIP

A sole proprietorship is owned and operated solely by one person (a spouse, if any, may be involved in the business). The owner must operate the business using his or her legal name, rather than a fictitious name or a d/b/a (doing business as).

PROS

Simple to form or create. No legal filings required. No business return to file (though some states may require the filing of an unincorporated business return).Tax reporting is simplified-profits and losses are reported on individual tax returns.

CONS

Owner not afforded protection against personal liability. If business is sued, the owner's personal assets may be at stake.

PARTNERSHIP

Created by to or more people who agree to share in the profits and losses of a business.

PROS

No formal organization process (other than registering the business name), but partnership agreement is highly recommended Tax reporting is simplified.

CONS

Partners do not have protection against personal liability-each partner is personally liable for the negligence and wrongdoings of the other partners' share of debts and obligations.

CORPORATION

A legal entity formed in a particular state generally by the filling of Articles (or a Certificate) of Incorporation with the Department of State.

PROS

The corporation is treated as a separate "person" and generally shields the owners (known as shareholders) from personal liability. Familiar form which often "credentializes" a business. Corporate form helps to attract investors.

CONS

Strict corporate record keeping required-if not, corporate status can be challenged. Additional costs involved (e.g., incorporation filing fees; corporate tax return preparation)

LIMITED LIABILITY COMPANY (LLC)

A legal entity which is essentially a hybrid between a corporate and a partnership.

PROS

Affords the owners with protection against personal liability (like the corporation) coupled with preferential tax treatment (like a partnership). Failure to maintain strict record keeping will not negate the status of the LLC. Assets held in an LLC may be even greater protection to owners(as opposed to a corporation) against third-party claims.

CONS

Additional costs involved (i.e., formation filing fees). Relatively new in most states so LLC's are not widely understood by the general public and case law regarding them is limited.

It is important to remember that all businesses are not created equally. Learn as much as you can about the various business forms. Consult both an attorney and an accountant before reaching a final decision. Turn your vision into a reality. You can do it!
